Terms of Service

1. Acceptance of Terms

By accessing or using the DestiME Arts platform (“Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Platform. We reserve the right to modify these Terms at any time, and your continued use of the Platform constitutes acceptance of any modifications.

2. Eligibility

You must be at least 16 years of age to use the Platform. By creating an account, you represent and warrant that you meet this age requirement and that all information you provide is accurate, current, and complete. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

To access most features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Platform Description

DestiME Arts is a collaboration platform for creative professionals that provides the following services:

  • Magic 48h: Time-constrained creative sprints pairing users with complementary creative forces.
  • Missions: Collaborative projects with task management, releases, and team coordination.
  • Mixtures: Teams of creative professionals working together across projects.
  • PACTs: Binding collaboration agreements with equity splits, deliverables, and checkpoints, anchored on-chain via Veritas.
  • Mosaics: Collaborative intellectual property entities with transparent equity distribution.
  • Hub M: A permanent record and publishing system for collaborative work.
  • Matching and Discovery: Algorithmic recommendations for collaborators based on creative forces, skills, and behavioral signals.

5. User Content

5.1 Ownership

You retain ownership of all content you create, upload, or share on the Platform (“User Content”). DestiME Arts does not claim ownership of your creative work, submissions, or intellectual property.

5.2 License to DestiME Arts

By posting User Content on the Platform, you grant DestiME Arts a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Platform services. This license terminates when you delete your User Content or your account, except for content that has been shared with other users, incorporated into collaborative works, or anchored via Veritas.

5.3 Collaborative Works

When you collaborate with other users through Missions, Magic sessions, or other Platform features, the ownership and rights to collaborative works are governed by the PACT agreements between participants. DestiME Arts is not a party to these agreements and does not mediate ownership disputes between collaborators.

6. PACTs and Equity

PACTs are collaboration agreements between users that define roles, deliverables, payment terms, and equity splits. By signing a PACT, you acknowledge that:

  • PACTs are immutable once both parties sign. No amendments can be made to a signed PACT.
  • New collaborators joining a project require a new, separate PACT.
  • Equity percentages defined in PACTs represent the agreed-upon distribution between parties.
  • DestiME Arts facilitates the creation and recording of PACTs but does not enforce them legally. PACTs serve as a record of mutual agreement.
  • Veritas anchoring creates an immutable on-chain record of the agreement.

7. Veritas and Blockchain Records

Veritas is our on-chain anchoring system that creates permanent, immutable records of collaborations, PACTs, and Mosaics on the Polygon blockchain. By using features that generate Veritas records, you acknowledge that:

  • Veritas records are permanent and cannot be deleted or modified once created.
  • Records include collaboration metadata such as participant names, roles, and timestamps.
  • These records serve as proof of collaboration and agreement, not as legally binding contracts.

8. Flow Points and Axiom Score

Flow Points are an internal reward system that tracks platform activity and contributions. Axiom scores reflect reliability and character based on behavioral signals. These systems:

  • Have no monetary value and cannot be exchanged, transferred, or redeemed for cash.
  • Are calculated algorithmically based on platform activity and are subject to change.
  • Do not represent any form of financial instrument or investment.

9. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable laws.
  • Impersonate any person or entity, or falsely claim an affiliation with any person or entity.
  • Upload or share content that is defamatory, obscene, harmful, threatening, or that infringes on the intellectual property rights of others.
  • Attempt to gain unauthorized access to the Platform, other user accounts, or related systems.
  • Use automated scripts, bots, or scrapers to access the Platform without our prior written consent.
  • Manipulate Flow Points, Axiom scores, or matching algorithms through artificial or deceptive behavior.
  • Harass, bully, or intimidate other users.
  • Use the Platform to distribute spam, malware, or phishing content.

10. Intellectual Property

The Platform, including its design, code, features, branding, logos, and documentation, is the property of DestiME Arts and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent. The DestiME Arts name, logo, and all related names, logos, product and service names, and slogans are trademarks of DestiME Arts.

11. Third-Party Services

The Platform integrates with third-party services including Firebase (authentication), Cloudflare R2 (file storage), Groq (AI services), and Polygon (blockchain). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

12. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT GUARANTEE THE QUALITY, OUTCOME, OR SUCCESS OF ANY COLLABORATION FACILITATED THROUGH THE PLATFORM.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DESTIME ARTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

14. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association in the jurisdiction where DestiME Arts is incorporated. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

15. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which DestiME Arts is incorporated, without regard to its conflict of law provisions.
